TERMS OF SALE

Prime makes every effort to service our customers with honesty and integrity. For your protection, and to avoid errors or misunderstandings, please review our Terms. New account orders are processed using approved credit card or pre-pay. To obtain 30-day billing, DUNS # and business references are required. International customers must provide International DHL or Fed Ex account. All Cart sales are NCNR. Many non-cart sales are NCNR. Orders placed to ship within Texas are subject to Texas Sales Tax and the amount is based on local rates. Orders are processed according to prices in effect on date of shipment. Prime reserves the right to make changes without notice. No parts may be returned except with Return Material Authorization (RMA). Special service fees will be charged for Change Order, Rush Order, and Expedite and these fees are not refundable.

ACCEPTANCE OF ORDER
Prime Distributing Company will only accept orders placed within Prime's Terms and Conditions of Sale and within Prime's recognized and approved format. No change to the Order Quote or Purchase Order will be accepted without approval of Prime Distributing Company's authorized agent.

ASSISTANCE
Prime Distributing offers solution choices and may provide technical suggestions or recommendations. Prime does not guarantee that our recommendations meet precise needs. Customer is solely responsible for confirming data or to determine appropriate selection and to make final decisions.

CONFIRMATION OF ORDERS
Verbal Purchase Orders are not accepted. Documentation of purchase is required for:
   •  NCNR (Non-Cancelable/Non-Returnable) products.
   •  Scheduled orders with firm ship date(s) within 6 months.
   •  Orders over $1,000.00.
   •  Orders with special conditions of sale.
   •  Drop Ship Orders.
   •  All orders with requested air shipment into or out of Prime Distributing.
   •  Confirmation of Air Freight charges authorized IN to Prime and OUT to customer account.


CREDIT CARD PAYMENT
Prime accepts MasterCard, Visa, and American Express.

DELIVERY
All items are F.O.B. shipping point unless otherwise noted. All items are shipped by Ground transport unless authorized otherwise in writing. Shipments by Air will be billed to the customer's carrier account.

DROP SHIPMENTS
Product may be shipped direct to customer site from factory. Depending on the weight and size, there may be a factory charge.

ERRORS
Any errors MUST be reported within 10 working days of the date of invoice. After 10 working days the invoice will be considered correct with the full amount due.

FEES
A Service Fee of $25 will be charged for Change Orders, Expedite Requests and Rush Orders.

INTERNATIONAL SALES
(i) All orders are NCNR.
(ii) Payable by Bank transfer to Prime before shipment to customer.
(iii) Add: $40 Bank Transfer fees
(iv) Prime offers open account credit to approved accounts. Payment for international orders may be done with bank transfers only.
(v) Any order of international origin is subject to compliance with US Export Regulations.

MINIMUM ORDER
$50.00 Purchase. The minimum order requirement for Non-Stock Items may vary according to the manufacturer's minimum order requirement.

NEW ACCOUNTS
Net 30 Days is available to credit approved companies. The minimum order requirement for opening a new account is $150. The initial order must be with credit card or C.O.D. to allow process time. A company wishing to open an account with no D&B should forward three trade credit references and one bank reference with FAX & email numbers. Please allow a minimum of 15 days to open a new account. One-time set-up fee for new accounts without D&B is $35, to be billed as a Line Item on first order.

NCNR
Non-Cancelable, Non- Returnable. These are items that cannot be returned, once the order has been placed. Non-stock items are considered NCNR and may be subject to minimum order quantities and special charges.

OUT OF STOCK ITEMS
Items not available for immediate shipment will be shipped as soon as they are available. Those items not available at the end of 30 days will be cancelled and refunded/credited in cases of prepayment. At the end of 90 days, orders for items not available will be canceled.

PRICE QUOTATIONS
All written quotations are valid for 30 days from the day issued, unless otherwise specifically stated in writing. Quotations, after being accepted, will be subject to credit approval before shipment. Prime reserves the right to correct errors.

PRICING
All prices are subject to change without notice. Prime cannot control price changes, nor quantity availability from manufacturer. All orders are subject to current pricing at the time of acceptance by Prime Distributing.

PRIVACY POLICY
Prime does not sell or rent any names or information. Please refer to Prime's Privacy Statement.

PRODUCT DEFECTS
Buyer must notify Prime within 90 days from date of shipment of any defective product. Warranty returns are limited to repair, replacement or refund of purchase price actually paid for product. Prime is not liable for defects of products from any manufacturers.

PRODUCT USAGE
No products offered by Prime Distributing Company are authorized for use as critical components in life support devices or systems. Customer is solely responsible for safe and proper use of products purchased from Prime Distributing.

RETURNS
• Approved returns require an RMA# (Return Material Authorization Number).
• Returns are subject to a 25% re-stocking fee plus freight charges in and out.
• All return freight charges to be pre-paid.
• Approved returns of standard items will be accepted only within 30 days.
• Authorization of return or cancellation of order depends upon manufacturer's approval and terms.
• Dollar value of return may not exceed 50% of the total order or a maximum of $2,000.
• Date code sensitive product may not be returned.

SALES TAX
Open accounts for Texas customers must have a Texas sales tax exemption certificate on file with Prime Distributing to avoid state sales tax charges. Unless otherwise noted, Texas Sales Tax will always be charged. Non-taxable status is determined according to Texas state law, and the customer is responsible for determining if tax is to be collected. State sales tax will be charged on all product and on freight charges to Texas locations, unless a signed official state tax exemption certificate is furnished to Prime Distributing in advance of order acceptance.

SCHEDULED ORDERS
Must be completed within six months of the date when purchase order was placed with Prime. One change only is allowed and may not move order beyond original six-month limit. Ship dates must be confirmed. 30-day advance notice is required for any ship date to be extended. Requests for earlier ship dates will be accommodated as soon as product is available.

SHIPMENT DAMAGE
Any claim must be made within 10 days of the date of shipment. External damage to shipment must be documented in writing, at time of delivery with carrier. Please unpack and inspect all shipments immediately upon receipt. If there is a problem, please notify the carrier immediately for inspection and documentation. Failure to identify damage will result in the carrier's refusing to honor the claim. For your protection, prepaid shipments include insurance for damage or loss in transit.

SHIPPING METHODS
Unless instructed otherwise, orders are shipped ground surface. Air shipment is available at an additional charge. Chemicals will ship via ground transportation only. Hazardous materials are shipped to limited areas only. For details on hazardous shipments, please contact Prime.

INTERNATIONAL SHIPMENTS
Freight will be charged to customer's shipping account only. There is no pre-pay and add to Invoice. Invoices are for product only and purchased only via bank transfer.

Technical data and product information have been derived from information supplied by manufacturers. Prime does not assume any responsibility for its accuracy. Prime assumes no liability whatsoever for direct or indirect loss or damage incurred as a result of neglect, error, accident, modification or application of the data or information presented.
